Terms and Conditions

1. Who these terms are between

DistiStore is operated by X Digital Platforms Ltd. ("DistiStore", "we", "us"). These terms govern use of the DistiStore website and marketplace by Distributors (businesses that list and sell products), Members (verified resellers who buy at trade pricing), and Guests (anyone buying without an account). By creating an account, listing a product, or placing an order, you accept these terms. For how we handle personal data, see our Privacy Policy, which forms part of these terms by reference.

2. What DistiStore is - and isn't

DistiStore is a marketplace that connects Distributors with Members and Guests, and processes payment centrally so a buyer only ever deals with one checkout regardless of how many distributors are involved. Every contract for the sale of goods is between the buyer and the Distributor who listed the product - DistiStore is not the seller, manufacturer, stockist, or shipper of any product listed on the site, and is not a party to that sale contract. Our role is to operate the platform, verify accounts, facilitate the trade and the payment, and provide the tools distributors and members use to deal with each other.

3. Accounts, eligibility and verification

• You must be able to form a binding contract to register an account, and must provide accurate, current information when doing so.
• Distributor and Member accounts require identity/business verification (KYC) before trade pricing or a live listing is unlocked. We may request further documentation at any time to confirm identity, business details, or the right to sell a listed product.
• You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
• One account per business/individual, unless we agree otherwise in writing.

4. Distributor terms

• Distributors are responsible for the accuracy of their own listings - price, stock level, description, images, and category - whether entered manually or synced automatically via a connected store (Shopify, WooCommerce, or a custom API/database).
• Distributors must have the legal right to sell every product they list, and must comply with all applicable product safety, labelling, and trading standards law.
• Distributors are responsible for dispatching and delivering orders to the end customer themselves, and for handling returns and refunds on their own orders - see our Returns and Refunds policy.
• Distributors are paid out based on their own listed product price, tracked as pending and processed payouts on their Billing dashboard, and settled by DistiStore on a regular basis.
• Listing and selling on DistiStore requires an active membership after any free trial period - see "Fees and subscription" below. We may suspend or remove a listing, or a Distributor account, for inaccurate listings, unresolved buyer complaints, failed verification, or breach of these terms.

5. Member (reseller) terms

• Members are priced as a Guest until KYC is approved and membership is active, at which point trade pricing unlocks across the catalog.
• Members may add their own margin on top of trade price when building a cart or quote to share with their own customer via a payment link, or may check out for themselves. Any margin a Member adds is between the Member and their own customer - DistiStore only processes the resulting payment.
• Members are responsible for their own dealings, representations, and any commitments made to their own customers.

6. Guest terms

Guests may browse and buy without registering an account, at the standard guest price. Every order - guest or otherwise - receives an order reference and a tracking link. Guest orders are still a contract directly with the relevant Distributor, subject to these terms.

7. Pricing, fees, and payment

• A Distributor's listed price is treated as their final, all-in selling price. DistiStore is not currently VAT-registered, so no separate VAT line is added by the platform on top of a distributor's price; this will be updated once DistiStore becomes VAT-registered.
• A platform site fee, shown as its own line item before payment is confirmed, is added at checkout to cover the cost of running the marketplace. It is calculated as a small percentage of the order subtotal, subject to a minimum fee per order, and does not affect the amount a Distributor is paid out.
• All card payments are processed securely through Stripe; DistiStore never sees or stores full card numbers.
• Prices, availability, and fees may change at any time; changes do not affect an order already placed.

8. Fees and subscription

Distributor and Member accounts operate on a free trial followed by a paid annual membership required to keep trade pricing and full marketplace features active. Current paid plans are an Annual £500 + 2% of sales processed through the account, or a flat Annual £1000 with no per-sale percentage; the fee covers a 12-month term from activation and is not billed automatically - it must be paid before or at renewal to continue without interruption. Annual fees are non-refundable once a term has begun, except where required by law or otherwise agreed by DistiStore in writing. If a membership lapses, the account reverts to guest-equivalent pricing until renewed.

9. Advertising

Verified Distributors with an active membership may create promotional banners targeted by category or industry, shown to Members and on the homepage, currently included at no additional charge as part of an active membership. Distributors are responsible for the accuracy and legality of any promotional content they create. DistiStore reserves the right to introduce paid or sponsored placements in the future, with terms published in advance of any charge applying.

10. Delivery, returns and refunds

Delivery, returns, and refunds are handled directly by the Distributor who fulfilled the order, not by DistiStore. Full detail is set out in our Returns and Refunds policy within the Privacy Policy & Platform Terms page, including your statutory rights as a consumer under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013, which are unaffected by these terms.

11. Acceptable use

You must not, and must not attempt to:

• List counterfeit, stolen, unsafe, or unlawful goods, or misrepresent a product's origin, condition, or specification.
• Use the platform to circumvent fees by taking a buyer or seller relationship formed on DistiStore off-platform to avoid the site fee.
• Interfere with the operation of the site, attempt to access another user's account or data, or probe, scan, or test the platform's security without authorisation.
• Use the messaging feature to send spam, harassment, or unlawful content.
• Upload malicious code or content that infringes a third party's intellectual property rights.

Breach of this section may result in suspension or termination of your account without refund of any fees paid.

12. Intellectual property

The DistiStore name, logo, and site design are owned by X Digital Platforms Ltd. and may not be used without permission. Distributors retain ownership of the product content (images, descriptions) they upload, and grant DistiStore a licence to display it on the platform for the purpose of listing and selling that product. You must not copy, scrape, or reuse another user's listing content without their consent.

13. Suspension and termination

We may suspend or close an account that fails verification, breaches these terms, is used fraudulently, or where required by law. You may close your own account at any time by contacting us; any pending Distributor payouts or Member orders in progress will be settled or fulfilled before an account is fully closed. Sections of these terms that by their nature should survive closure (including liability, and intellectual property) continue to apply.

14. Liability

DistiStore facilitates the trade and the payment between buyers and Distributors but is not a party to the underlying sale contract, and is not liable for a product's quality, safety, accuracy of description, or a Distributor's failure to deliver, honour a return, or issue a refund - those obligations sit with the Distributor as seller of record. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or fraud.

15. Changes to these terms

We may update these terms from time to time to reflect changes to how the platform operates or to applicable law. Material changes will be highlighted on this page; continued use of the site after a change takes effect constitutes acceptance of the updated terms.

16. Governing law

These terms are governed by the laws of England and Wales, and any dispute arising from them or your use of DistiStore is subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections you are entitled to in your country of residence.
